Michigan Certificate of Authority

Because entity names exist at the state level, it is not uncommon for two different businesses to use the same name in different states. If there is already a business using your entity's legal name in Michigan, you will need to use a "doing business as" name for Michigan filing purposes.

If the name(s) you submit to Origami Legal are not available in Michigan, we will contact you before submitting your application for a Certificate of Authority.

Michigan requires a Certificate of Good Standing to be submitted with the application for a Certificate of Authority. The Certificate of Good Standing must be dated within 21 days from the date you submit this form to Origami Legal.

If you do not have one available, Origami Legal will order one on your behalf, in which case the state fee to order the certificate will be added to your invoice.

This is typically found in the organizing documents sent to your state (Articles/Certificate of Incorporation/Formation/Organization, etc.).
